利用規約

第1条（適用）
本規約は、JapanMarketing合同会社（以下「当社」）が提供するサービス「ReplyFive」（以下「本サービス」）の利用条件を定めるものです。利用者は、本サービスへのお申込みまたはご利用をもって、本規約に同意したものとみなされます。
第2条（アカウント）
利用者は、正確な情報を登録し、常に最新の状態を保つものとします。アカウントおよび端末トークンは利用者の責任で管理し、第三者と共有してはなりません。アカウントは1名の利用者が使用するものとし、複数人での共用はできません。Lite、Pro および Ultra は1名（端末1台）向けのプランです。Team プランでは、管理者が管理画面から利用者および端末の管理を行えます。
第3条（本サービスの内容）
本サービスは、利用者が入力した内容と、利用者が表示している会話の文脈に基づいて、返信の文案を生成し、利用者の入力欄へ差し込む機能を提供します。本サービスは、利用者に代わってメッセージを送信することはありません。送信の判断と操作は常に利用者が行います。生成された文案の内容および送信の結果については、利用者が責任を負うものとします。
第4条（禁止事項）
利用者は、本サービスの利用にあたり、以下の行為を行ってはなりません。
- 法令または公序良俗に違反する行為
- 迷惑メールの送信、大量配信、なりすまし、詐欺その他不正な目的での利用
- 他者の権利を侵害する内容の生成または送信
- 本サービスの解析、改変、複製、再配布、または再販売（別途書面による許諾がある場合を除きます）
- 自動化された手段により、下記の利用上限を超える負荷をかける行為
- 本サービスの安定した提供を妨げる行為
過剰な利用を防止するため、返信生成の1日あたりの上限回数を、Lite プランは20回、Pro プランは60回、Ultra プランは100回（これを超えた分は1回3円の従量課金）、Team プランは組織全体で100回（1日100回ぶんを追加購入可能）、無料トライアル中は200回と定めます。1日の回数は協定世界時0時（日本時間9時）にリセットされます。なお、いずれのプランにおいても、自動化された手段による大量利用など通常の利用を著しく超える場合は、利用を制限することがあります。
第5条（無料トライアル）
無料トライアルの期間は14日間とし、クレジットカードの登録は不要です。期間中は本サービスの機能をご利用いただけます。期間満了時に有料契約への申込みがない場合、トライアルは自動的に終了し、課金は発生しません。
第6条（料金および更新）
料金は当社ウェブサイトに表示する金額（税別。別途消費税を加算します）とします。料金は前払いで、月額プランは1カ月ごと、年額プランは1年ごとに、同一の条件で自動的に更新されます。Ultra プランの支払いは月額のみとし、1日100回を超えた分の従量料金（1回3円）は、当月の利用回数に応じて翌月の請求に加算されます。Team プランにおいては、1日100回ぶんを単位として追加購入でき、追加分の料金は単位ごとに月額1,980円または年額19,800円（税別）とします。プラン変更に伴う差額は次回請求に反映されます。なお、契約期間の途中で解約された場合でも、既払い料金の返金は行いません。お支払いはクレジットカード決済（決済代行：Stripe, Inc.）に限ります。
第7条（解約）
利用者は、管理画面からいつでも解約できます。解約は当該契約期間（月額プランは当月、年額プランは当年）の満了をもって効力を生じ、それまでは本サービスをご利用いただけます。デジタルサービスの性質上、残りの契約期間分を含め、既にお支払いいただいた料金の返金は行いません。無料トライアル期間中に解約した場合、または有料契約へ移行しなかった場合、課金は発生しません。
第7条の2（動作環境）
デスクトップアプリの動作環境は macOS 13 以降とします。アクセシビリティの許可およびインターネット接続が必要です。Windows 版および Linux 版は開発中であり、現時点では提供していません。
第8条（セルフホスト版のライセンス）
セルフホスト版のライセンスは、ご契約の利用者数および期間に限り、お客様の環境で本サービスのサーバを稼働させる非独占的な権利を付与するものです。ライセンスの再配布はできません。モデルの利用に伴う費用は、お客様ご自身のクラウド事業者との契約に基づき、お客様が負担するものとします。
第9条（提供の中断・変更）
当社は、本サービスの安定した提供に努めますが、可用性を保証するものではありません。保守、障害、外部サービスの停止その他の事由により、本サービスの全部または一部の提供を一時的に中断することがあります。また、当社は本サービスの内容を変更し、または提供を終了することがあります。なお、提供を終了する場合には、合理的な期間をもって事前に通知します。
第10条（免責および責任の制限）
本サービスは、生成された文案の正確性、適切性、特定の目的への適合性を保証するものではありません。利用者は、送信前に必ず内容を確認するものとします。当社が利用者に対して負う損害賠償責任の総額は、当該損害の発生時点から遡って12カ月間に利用者が当社へ実際に支払った利用料金の額を上限とします。また、当社は逸失利益その他の間接損害について責任を負いません。なお、本条の規定は当社の故意または重大な過失による損害には適用されません。
第11条（本規約の変更）
当社は、本規約を変更することがあります。変更後の規約は、本ページに掲載した時点から効力を生じます。重要な変更を行う場合は、管理画面またはご登録いただいたメールアドレス宛に事前に通知します。
第12条（準拠法および管轄）
本規約は日本法に準拠します。本サービスに関して当社と利用者との間に生じた紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

1. Scope
These terms govern your use of ReplyFive (the “Service”), operated by JapanMarketing LLC (“we”). By subscribing to or using the Service you agree to them.
2. Accounts
Register accurate information and keep it current. You are responsible for your account and device tokens, and must not share them. An account is for one person and may not be shared. Lite, Pro and Ultra are for one person (one device). On the Team plan, administrators manage users and devices from the admin console.
3. What the Service does
The Service generates a draft reply from what you type and from the conversation on your screen, and inserts it into your input field. The Service never sends a message on your behalf. Sending is always your action, and you are responsible for the content you send.
4. Acceptable use
You may not use the Service to break the law; to send spam or bulk messages, to impersonate others or to commit fraud; to generate or send content that infringes the rights of others; to reverse-engineer, modify, copy, redistribute or resell the Service without our written permission; to place load on it beyond fair use by automated means; or to interfere with its stable operation. To prevent overuse, replies a day are capped at 20 on Lite, 60 on Pro, 100 on Ultra (every reply beyond that is charged at ¥3), 100 across the whole organization on Team (further blocks of 100 a day can be purchased) and 200 during the free trial. The daily count resets at 0:00 UTC (9:00 Japan time). On any plan we may restrict use that clearly exceeds normal use, such as bulk generation by automated means.
5. Free trial
The trial runs for 14 days and requires no credit card. If you do not subscribe by the end of it, the trial simply ends and nothing is charged.
6. Fees and renewal
Fees are those published on our website, exclusive of tax; Japanese consumption tax is added. Fees are paid in advance and renew automatically on the same terms, monthly for monthly plans and annually for annual plans. Ultra is billed monthly only; metered usage beyond the 100 replies included each day is charged at ¥3 per reply and added to the invoice at the start of the following month. On the Team plan, further blocks of 100 replies a day may be purchased at ¥1,980 a month or ¥19,800 a year per block, excluding tax. When you change plans, the difference is reflected on the next billing date. Fees already paid are not refunded if you cancel during a term. Payment is by credit card through Stripe, Inc. only.
7. Cancellation
You may cancel at any time from the admin console. Cancellation takes effect at the end of the current term (the current month for monthly plans, the current year for annual plans), and the Service remains available until then. Because this is a digital service, fees already paid are not refunded, including for the remainder of the term. Nothing is charged if you cancel during the trial or do not move to a paid plan.
7a. System requirements
The desktop app requires macOS 13 or later, the Accessibility permission and an internet connection. Windows and Linux versions are in development and not yet available.
8. Self-hosted licence
A self-hosted licence grants a non-exclusive right to run the Service's server in your own environment, for the number of users and the term purchased. The licence may not be redistributed. Model usage costs are billed to you by your own cloud provider.
9. Availability and changes
We work to keep the Service running but do not guarantee availability. It may be interrupted for maintenance, faults or outages at third parties. We may change the Service or discontinue it, giving reasonable notice before discontinuation.
10. Disclaimer and limitation of liability
We do not warrant that a generated reply is accurate, appropriate or fit for a particular purpose. Read it before you send it. Our total liability to you is limited to the fees you actually paid us in the twelve months before the loss arose, and we are not liable for lost profits or other indirect loss. This clause does not apply to our wilful misconduct or gross negligence.
11. Changes to these terms
We may amend these terms; the amended version takes effect when published on this page. We will give advance notice of significant changes through the admin console or by email.
12. Governing law and jurisdiction
These terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance for any dispute arising from the Service.
